These Terms work together with our Privacy Policy, Acceptable Use Policy, Refund Policy, and Service Level Agreement. Where policies conflict, the order of precedence is: these Terms, then the AUP, then the SLA, then the Refund Policy, then the Privacy Policy — unless a later written order expressly states otherwise.
BenuCloud provides web hosting, cloud VPS, reseller hosting, and related support. We do not sell or register domain names. Any domain you use with our services must be obtained and managed through a third-party registrar of your choice.
1. General — scope of application
- These Terms apply to all business relationships between you and BenuCloud. They form an integral part of every contract for our Services and also apply to future orders and renewals, even if you do not separately re-accept them each time.
- Your own terms (or those of any third party) do not apply and do not become part of the contract, even if we do not object to them in a particular case.
- We may update these Terms, related policies, and prices by notifying you through your client area and/or the email address on your account. Continued use of the Services after the effective date of a change constitutes acceptance of the revised Terms.
- Our staff and contractors are not authorized to make verbal agreements, guarantees, or commitments that change these Terms. Changes must be confirmed in writing (including email or ticket) by an authorized representative.
2. Account registration & security
- To use our Services you must create an account with accurate, current, and complete information, and keep that information updated.
- You are solely responsible for protecting your account credentials. Activity under your account is your responsibility, whether or not you personally authorized it.
- Notify us immediately at hello@benucloud.com or via a support ticket if you suspect unauthorized access or any security breach. We are not liable for losses arising from unauthorized use of your credentials where you failed to protect them or to notify us promptly.
- We may suspend or terminate accounts registered with false or misleading information, or accounts used for fraud or abuse.
3. Payments & billing
- Fees are payable in advance for each billing cycle according to the plan you select. Unless stated otherwise at checkout, prices are exclusive of applicable taxes.
- Renewal invoices for web hosting, reseller hosting, and VPS services are typically generated about ten (10) days before the renewal date. We will notify you by email (and by other channels we may enable in the client area).
- A grace period of five (5) days after the renewal due date may apply. Failure to pay within that window may result in temporary suspension of Services.
- Accepted payment methods are described on our Payment methods page and in the billing client area. We may add or remove processors from time to time.
- Chargebacks filed without first contacting billing support may result in suspension of Services and recovery of reasonable administrative costs, in addition to the original invoice amount.
4. Service activation
- Shared hosting, reseller hosting, and VPS services are normally activated promptly after successful payment. Delays may occur due to technical issues, fraud checks, or where we need additional information from you.
- Accounts that fail initial verification may take longer to activate. We will contact you for any details required to complete verification.
5. Service cancellation
- Cancellation requests must be submitted via a support ticket from your client area.
- Third-party licenses, paid add-ons, and custom one-time work are generally non-refundable once provisioned. For refund eligibility on hosting plans, see our Refund Policy.
- Cancelling a hosting or VPS service does not cancel any domain you hold at a third-party registrar. You remain responsible for renewing or transferring domains elsewhere.
6. Service termination for non-payment
- Shared and reseller hosting accounts that remain unpaid for thirty (30) days past the due date may be permanently deleted from our servers. No backup delivery is guaranteed after deletion.
- Cloud VPS instances that remain unpaid for ten (10) days past the due date may be permanently deleted. No backups are provided after deletion unless you previously purchased and retained a backup product that still contains recoverable data.
7. Backups
- We perform scheduled backups for shared hosting accounts where the plan includes backups. Retention is typically up to seven (7) days. Use of backups is at your own risk. Restoration is generally free while the service remains active, unless otherwise stated.
- We do not guarantee that a backup will always be available or complete. You should keep your own local or off-site copies of important data and not rely solely on our backup systems.
- VPS backups are not included by default unless you purchase a backup option or take snapshots yourself. If you have not opted in, you must maintain your own backups. We are not responsible for data loss on VPS services without an active backup product.
8. Resource usage & fair use
- Shared hosting plans are intended for standard website and application workloads. You may not use your account in a way that harms the performance, availability, or security of shared infrastructure.
- Excessive CPU, RAM, disk I/O, or bandwidth use — even within advertised plan limits — that negatively affects other customers is prohibited. We may throttle, suspend, or ask you to migrate to a higher-tier plan or VPS.
- Video streaming platforms, cryptocurrency mining, torrent seeding / file-distribution networks, and other continuously high-load workloads are not permitted on shared hosting.
- Resource-intensive projects should run on Cloud VPS (or a dedicated environment), where resources are isolated for your workload.
9. Spam & email abuse
- We operate a zero-tolerance anti-spam policy. Sending unsolicited bulk email, operating spam support services, or other email abuse from our network is strictly prohibited.
- Mass marketing email is only allowed where you have verifiable opt-in consent from recipients and comply with applicable anti-spam laws in every jurisdiction you target.
- If your activity causes an IP address to be listed on a major spam blacklist, we may suspend the service immediately and may charge reasonable remediation costs.
- We use automated and manual monitoring to detect abuse. Suspected spam accounts may be suspended pending investigation, with or without prior notice.
10. Prohibited software & content
The following (and similar) software or content is banned on our shared infrastructure due to security, load, or legal risk:
- IRC eggdrops, proxy servers, mail bombers, anonymous mailers, IP spoofers, and port scanners
- Telnet / SSH access scripts, nph-proxy and similar tools, PhpShell, and insecure legacy form mailers
- Torrent clients or seeding services on shared hosting
- Phishing kits, malware, and nulled (pirated) scripts, plugins, or themes
- Illegal pornography or other content prohibited by applicable law
Use of nulled or pirated software may result in suspension or termination without refund. Broader prohibited activity is also covered by our Acceptable Use Policy.
11. Service monitoring
- Shared and reseller hosting platforms are monitored around the clock.
- Advanced monitoring for individual VPS instances may be available as an add-on or via tools you install yourself. When we detect a platform-level issue, we may open a ticket with an explanation.
12. Data migration
- We offer complimentary migration assistance for eligible shared hosting moves, subject to technical feasibility and fair-use limits. You are responsible for checking the result and fixing application-level issues after the move.
- If root (or equivalent) access to the source server is not available, we will transfer a reasonable number of accounts for free as described in your migration ticket. Larger bulk moves may incur fees based on account count or disk usage.
- VPS migrations are handled case by case. Complex or custom environments may require paid professional services.
13. IP addresses
- Dedicated or additional IP addresses may be available for shared hosting and VPS plans where the product allows it, subject to justification and fair-use review.
- Additional IPs on a VPS are limited by plan and network policy. IPs used for spam or abuse will be removed or suspended immediately.
- IP addresses remain our property (or our upstream provider’s). They are licensed for use with your active service and must be returned when the service ends.
14. Uptime
- We target 99.9% uptime for eligible Services. Scheduled maintenance and necessary updates are excluded; we aim to give advance notice where practical. Details, exclusions, and credits are set out in our SLA.
15. Intellectual property
- All trademarks, logos, site design, and other intellectual property on BenuCloud websites and control panels remain our property or that of our licensors. Unauthorized use is prohibited.
- You retain ownership of content you upload. You grant us a limited, non-exclusive license to host, back up, and serve that content solely to provide the contracted Services.
- You must not use our Services to infringe others’ intellectual property rights, including by uploading content you are not licensed to use.
16. Acceptable use
- You agree to use the Services in compliance with all applicable local, national, and international laws.
- You must not use the Services for illegal, harmful, or infringing activity — including malware distribution, spam, hacking, or unauthorized access to systems. See the AUP for detail.
- We may suspend or terminate accounts that breach the AUP or these Terms, without prior notice where needed to protect the network, other customers, or legal compliance, and without liability for resulting disruption.
17. Reseller & end-user accounts
- You may not resell, sublicense, or redistribute our Services except under a reseller plan or written partner agreement with BenuCloud.
- Agencies and developers hosting sites for their own clients remain fully responsible for ensuring that all hosted content and activity complies with these Terms and the AUP.
- We are not responsible for violations by your end users. The account holder bears full liability for activity under the account.
18. Abuse reporting
- If you believe our network or a site we host is being used for illegal or abusive activity, please report it via a ticket at https://billing.benucloud.com/submitticket.php or email hello@benucloud.com with “Abuse” in the subject line.
- We review reports in a timely manner and may suspend or terminate confirmed violators.
19. Limitation of liability
- To the maximum extent permitted by law, BenuCloud is not liable for any indirect, incidental, special, punitive, or consequential damages — including loss of profits, revenue, data, or use — arising from the Services, whether in contract, tort, or otherwise.
- Our total aggregate liability under these Terms shall not exceed the fees you paid us for the affected Services during the twelve (12) months immediately before the event giving rise to the claim.
20. Indemnification
- You agree to indemnify, defend, and hold harmless BenuCloud and our officers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or infringement by you or anyone using your account of any third-party right.
21. Governing law & disputes
- These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles, unless a mandatory consumer protection law in your country of residence requires otherwise.
- Courts in Bangladesh shall have jurisdiction over disputes arising from these Terms, subject to any non-waivable rights you may have under local law.
22. Confidentiality
- Each party will keep confidential information received from the other that is marked confidential or that should reasonably be understood as confidential, and will use it only to perform under these Terms.
- This confidentiality obligation survives termination of the agreement.
23. Force majeure
- Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government action, power or network failures outside that party’s control, or major internet infrastructure outages.
24. Severability
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
25. Entire agreement
- These Terms, together with the policies linked above and your service order, constitute the entire agreement between you and BenuCloud regarding the Services and supersede prior proposals or representations on the same subject.
26. Waiver
- Failure by either party to enforce a right or provision does not waive that right or provision.
27. Changes to these Terms
- We may modify these Terms by posting an updated version on this page and revising the “Last updated” date. Material changes will also be communicated via email or client-area notice when reasonably practical.
- You are responsible for reviewing this page periodically. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
